Terms of Use

Effective Date: 15th April, 2026

These Terms govern access to and use of the Zorio platform operated by Cavirk Private Limited. By accessing or using Zorio, you agree to be legally bound by them.

1. Definitions

  • Zorio - the seller enablement and intelligence platform operated by Cavirk
  • User - any individual, seller, business, partner or entity accessing Zorio
  • Seller Data - product, pricing, sales, customer, order and integration data
  • AI Outputs - insights, forecasts, recommendations, analytics and automated outputs generated by Zorio

2. Eligibility

You represent that you can legally enter into binding contracts, are authorized to bind your entity and will comply with applicable laws.

3. Nature of Service

3.1 Zorio as a digital business platform

Zorio is a software-as-a-service platform that supports and streamlines seller and enterprise workflows.

  • Product lifecycle management
  • Pricing optimization workflows
  • Demand forecasting systems
  • Inventory and supply analytics
  • Sales performance intelligence
  • Marketplace integration management
  • Data aggregation and synchronization
  • Business-process automation
  • Decision-support tools
  • Cross-channel operational visibility

3.2 Workflow enablement

Zorio may automate parts of a workflow, including data ingestion, analysis, rules, insights and operational triggers. Zorio facilitates the workflow but does not operate the user's business.

3.3 Decision support

Outputs assist users with decisions but do not make binding commitments or replace professional, managerial or commercial judgment. Decisions remain the user's responsibility.

3.4 No guaranteed outcomes

Cavirk does not guarantee revenue growth, sales improvement, forecast accuracy, profitability, efficiency gains or competitive advantage.

3.5 No agency relationship

These Terms do not create a partnership, joint venture, agency, fiduciary relationship or merchant-of-record role unless agreed in writing.

3.6 Third-party services

Zorio may connect with marketplaces, APIs, analytics services, payment gateways and other external systems. Cavirk will use commercially reasonable efforts to maintain integrations but does not control third-party restrictions, changes or outages. Users must maintain valid credentials and comply with each provider's terms.

3.7 Platform evolution

Zorio may add, change or retire modules, workflows, automation logic and models to improve performance, compliance or scale, provided core subscribed functionality remains materially available.

3.8 User responsibility

Users remain responsible for strategy, regulatory compliance, financial decisions, products, customer relationships and operational execution.

4. Account Registration

Users must provide accurate information and protect account credentials. Accounts may be suspended for fraud, misuse or violation of these Terms.

5. Data Access, Processing and Integrations

5.1 Authorization

By uploading data or connecting a service, the user authorizes Cavirk to retrieve, synchronize, host, store, process, analyze and transform Seller Data, generate outputs and maintain backups and logs needed to operate Zorio.

5.2 Processing license

Users grant Cavirk a limited, non-exclusive, worldwide and royalty-free license to process Seller Data solely to operate and improve Zorio and create anonymized, aggregated datasets. Ownership does not transfer.

5.3 Lawful data

Users confirm that they have all rights, permissions and consents required to provide Seller Data and that it does not violate privacy, intellectual-property or contractual rights.

5.4 Data quality

Cavirk is not responsible for inaccurate, incomplete, outdated or corrupted input from users or third-party services, or outputs affected by that input.

5.5 Aggregated data

Cavirk may anonymize and aggregate Seller Data for model improvement, research and platform metrics. Aggregated data will not identify the user.

5.6 Cross-border processing

Seller Data may be processed where Cavirk or its providers operate, subject to applicable data-protection laws.

5.7 Revoking access

Disconnecting an integration or ending a subscription stops future synchronization. Historical data may be retained under the retention policy.

5.8 No sale of personal data

Cavirk does not sell personal data. Data use is governed by the Privacy Policy and any applicable Data Processing Addendum.

6. Data Ownership

Users retain ownership of Seller Data. Cavirk retains ownership of Zorio technology, models, algorithms and anonymized aggregate analytics used to improve the service.

7. AI Outputs, Credits and Disclaimer

  • Outputs are probabilistic and may vary even when inputs are similar
  • Specific aesthetics, error-free results, commercial outcomes and exact results are not guaranteed
  • Each executed request may consume credits or tokens, including retries, and usage is final except where law requires otherwise
  • Dissatisfaction with style, formatting, tone or forecasts does not create a right to a refund or free reprocessing
  • Users must provide accurate inputs and verify outputs before use
  • Outputs are not financial, legal, tax, investment or regulatory advice
  • Users remain responsible for decisions made using Zorio

8. Fees, Billing, Renewal and Suspension

  • Fees may depend on plan, users, data volume, integrations and modules
  • Fees may be billed monthly, quarterly or annually in advance and exclude applicable taxes
  • Subscriptions automatically renew unless cancelled before renewal
  • Late undisputed fees may accrue interest at 1.5% per month or the maximum lawful rate
  • Accounts may be suspended when fees remain unpaid beyond seven days or payment fails
  • Seller Data may be retained for 30 days after termination before permanent deletion

9. Acceptable Use and Restrictions

  • Do not reverse engineer Zorio or derive its source code, models or algorithms
  • Do not use Zorio outputs to build a competing product or train external models
  • Do not scrape, interfere with service availability or attempt unauthorized access
  • Do not resell or sublicense access without written agreement
  • Do not upload unlawful, fraudulent, misleading, infringing or privacy-violating content
  • Do not misrepresent outputs as guaranteed or use them for unlawful financial activity

10. Intellectual Property

Zorio software, models, APIs, databases, interface designs, documentation and trade secrets belong to Cavirk Private Limited and its licensors. Compliant users receive a limited, revocable, non-transferable license for internal business use during the subscription term. Cavirk may use feedback without restriction or compensation.

11. AI Transparency and Responsibility

AI and statistical outputs can contain errors, bias and uncertainty. Human review and independent judgment are required before implementing pricing, inventory or strategic decisions.

12. Confidentiality

Both parties will protect confidential information exchanged through the platform, except information already public or disclosure required by law.

13. Marketplace Enablement Disclaimer

Zorio assists sellers but is not the merchant of record unless expressly stated. Seller liabilities remain with the seller.

14. Limitation of Liability

To the maximum extent permitted by law, Zorio is not liable for lost profit, revenue, data, or indirect or consequential damages. Total liability will not exceed fees paid during the previous 12 months.

15. Indemnification

Users agree to indemnify Cavirk Private Limited against claims arising from their product listings, regulatory violations or data misuse.

16. Data Security

Zorio uses commercially reasonable safeguards including encryption and secure API handling, but no system is completely secure.

17. Termination

Access may be terminated for breach, misuse or legal-compliance requirements.

18. Governing Law

These Terms are governed by the laws of India. Courts in Bengaluru have exclusive jurisdiction.

19. Modifications

Zorio may update these Terms. Continued use after an update constitutes acceptance.

20. Force Majeure

Cavirk is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, cyberattacks, cloud failures, GPU shortages, third-party API outages or regulatory restrictions. If such an event materially prevents service for more than 30 consecutive days, either party may terminate the affected subscription by written notice.

Annexure A - Zorio AI Usage Policy

This policy forms part of the Terms of Use. Users may apply outputs to internal pricing, inventory, marketing, strategy and operations, and download reports for use within their organization.

  • Do not use outputs to train external AI systems
  • Do not reverse engineer training data or Zorio's logic
  • Do not manipulate inputs to exploit model behavior
  • Do not use automation to extract large volumes of outputs
  • Cavirk may monitor usage, restrict abnormal activity and suspend access for violations
